Job summary

Piper Companies seeks a Corporate Governance & Securities Counsel Director to support a leading publicly traded healthcare technology company, onsite Monday–Friday in Tempe, AZ. You will provide legal guidance on governance, SEC reporting, securities compliance, board matters, and public company requirements while partnering with Finance, Investor Relations, Tax, and HR teams across the organization.

Qualifications

• This role requires 12+ years of corporate legal experience and SEС reporting expertise.
• Experience advising boards and handling governance matters with public companies.

Responsibilities

• Support Board of Directors and committee governance activities.
• Lead SEC reporting and disclosure, including 10-K/10-Q/8-K and Proxy Statements.
• Oversee insider trading compliance and Section 16 reporting.
• Collaborate with Finance, IR, Treasury, Tax, and HR on disclosures and compliance.
• Manage outside counsel and support corporate transactions.
