Piper Companies seeks a Director, Corporate Governance & Securities Counsel to join a leading publicly traded healthcare technology company in Tempe, AZ. The role is onsite five days per week, providing strategic governance counsel on SEC reporting, board governance, and global subsidiary governance.

The ideal candidate will bring 12+ years in corporate legal, JD admission, and experience with governance frameworks, disclosures, and cross-functional collaboration with Finance, Investor

Qualifications

• 12+ years of corporate legal experience in a law firm, publicly traded company, or both.
• JD degree and active license to practice law in at least one U.S. jurisdiction.
• Experience with SEC reporting, securities law compliance, and board matters.
• Experience partnering with Finance, Treasury, Investor Relations, Tax, HR, and executive leadership.

Responsibilities

• Lead governance processes supporting the Board and committees.
• Prepare and review board materials, resolutions, and annual shareholder meeting documents.
• Oversee SEC reporting and disclosure (Forms 10-K/10-Q/8-K, Proxy Statements).
• Monitor SEC regulations, Nasdaq listing standards, SOX, Dodd-Frank, and insider trading rules.
• Drive governance framework improvements and legal transformation initiatives.
• Manage outside counsel relationships and legal budgets.
