Job summary

Piper Companies seeks a Senior Corporate Counsel specializing in Corporate Governance & Securities. You will partner with executive leadership to oversee governance, SEC compliance, and reporting in a fast-paced global setting, with on-site work in Tempe, AZ.

12+ years in corporate law and a JD are required, along with experience supporting board matters and financing transactions. The role emphasizes advisory leadership, governance program improvements, and management of subsidiary governance

Qualifications

• JD and active U.S. bar license required.
• 12+ years of corporate legal experience in law firm or public company.
• Extensive SEC reporting, securities compliance, and governance experience.
• Knowledge of Nasdaq listing standards, SOX, and Dodd-Frank requirements.
• Experience supporting Board matters, proxy statements, and subsidiary governance.
• Ability to advise leadership and manage cross-functional initiatives.
• Experience with financing transactions and outside counsel management preferred.
• Familiarity with governance platforms like Workiva/Wdesk or Intelligize preferred.

Responsibilities

• Lead Board and committee governance activities.
• Prepare and review Board materials, resolutions, minutes, and shareholder meeting docs.
• Oversee SEC filings and disclosures (10-Ks, 10-Qs, 8-Ks, proxies).
• Manage insider trading compliance and Section 16 reporting.
• Advise on governance, securities law, and regulatory developments.
• Collaborate with Finance, Treasury, Tax, IR, HR, and Exec Comp teams.
• Support financing transactions and other corporate initiatives.
• Oversee global subsidiary governance and entity management.
• Lead process improvement and AI-enabled governance initiatives.
