Job summary

Piper Companies is seeking a Director, Corporate Governance & Securities Counsel to join a leading publicly traded healthcare technology company in Tempe, AZ. This on-site role reports to the General Counsel and leads governance, securities compliance, and disclosure programs.

The ideal candidate has 12+ years of corporate legal experience, a JD, active US license, and the ability to manage global subsidiary governance and outside counsel relationships while driving AI-enabled legal operations

Qualifications

12+ years of corporate legal experience in a law firm or publicly traded company.
JD degree and active license to practice law in at least one U.S. jurisdiction.
Eligible to work in the United States and obtain/maintain an Active U.S. Government Secret Clearance.

Responsibilities

Lead governance processes for the Board and committees.
Prepare agendas, materials, resolutions, minutes, and annual shareholder meeting docs.
Oversee SEC reporting and disclosure (Forms 10-K, 10-Q, 8-K, S-8, Proxy Statements).
Manage insider trading compliance and Section 16 filings.
Monitor Nasdaq, SOX, Dodd-Frank, and governance developments.
Drive legal operations improvements including AI and automation.
