Job summary

Veolia is seeking a Senior Corporate Counsel to partner with the Industrial Water business. You will balance legal risk with commercial objectives and work across the organization to support new business development and ongoing customer operations.

The role focuses on NDAs, MOUs, LOIs, bid responses, and a broad portfolio of O&M, DBOM/DBFOM, and EPC contracts, while coordinating with outside counsel and internal stakeholders to drive favorable outcomes.

Qualifications

• J.D. from an accredited law school and active bar license.
• 10+ years of legal experience in commercial contracts and project delivery.
• Experience drafting, reviewing, and negotiating O&M, EPC, and similar contract types.
• Strong negotiation and drafting skills.
• Excellent written and oral communication with non-legal stakeholders.
• Experience managing outside counsel and early-stage dispute resolution.
• Ability to work collaboratively across business functions.

Responsibilities

• Review, negotiate, and advise on NDAs, MOUs, and letters of intent to support new business opportunities.
• Bid and RFP support: review and provide legal counsel on bid and RFP responses.
• Draft, review, negotiate, and advise on service agreements with focus on O&M contracts; support DBOM/DBFOM/EPC.
• Contract portfolio management leveraging templates and frameworks.
• Conduct risk assessments addressing litigation, reputational, and deal-structure risks; participate in deal lifecycle meetings.
• Draft amendments and manage scope, pricing, and term extensions.
• Lead amendment drafting (Veolia-initiated) and manage customer revisions and alternate forms.
• Advise on disputes, incidents, potential claims, disputes, and terminations.
