Job summary

Advanced Solutions International, Inc. is seeking an Assistant Counsel to protect the organization's legal interests, manage risk, and support strategic initiatives across contracting, privacy, employment, governance, and corporate transactions.

Reporting to the Chief Administrative Officer/General Counsel, you will draft and negotiate a wide range of agreements, advise global HR, collaborate with IT and security, and help ensure regulatory compliance while enabling business growth.

Qualifications

• Juris Doctor (J.D.) degree from an ABA-accredited law school.
• Active membership in good standing with at least one state bar.
• 4+ years of relevant legal experience in a corporate legal department preferred.
• Experience drafting, reviewing, and negotiating SaaS agreements.
• Knowledge of global privacy, cybersecurity, and data governance programs.
• Working knowledge of employment law, corporate law, and regulatory compliance matters.
• Familiarity with international business operations and global compliance requirements.
• Experience supporting mergers and acquisitions, corporate transactions, and post-acquisition integration.
• Strong analytical, negotiation, and risk-assessment skills.
• Excellent written, verbal, and interpersonal communication skills.
• Ability to manage multiple priorities in a fast-paced environment.

Responsibilities

• Drafting, reviewing, negotiating, and managing a wide variety of commercial agreements including SaaS, licensing, and professional services agreements.
• Developing and maintaining contract templates, playbooks, training materials, and approval processes to improve efficiency and consistency.
• Supporting privacy, cybersecurity, and data governance initiatives with Information Security, IT, Human Resources, and business leaders.
• Providing guidance to management on employment-related issues, including employment agreements, employee relations, workplace policies, investigations, accommodations, performance management, and separation matters.
• Supporting corporate governance activities, including entity management, board-related matters, and corporate records.
• Assisting with corporate transactions, including due diligence, document review, and integration support.
• Performing other duties and responsibilities and assisting with special projects as may be assigned from time to time.
