The role partners with the Securities and Corporate Governance leader, the Chief Legal Officer, Finance, People and Accounting to ensure SEC and governance best practices are followed. Responsibilities include managing Board/Committee meeting prep, maintaining governance databases, administering D&O questionnaires, and handling

Qualifications

• Bachelor’s degree required.
• Minimum eight years’ experience as corporate & securities paralegal for a public company or top law firm.
• Deep expertise with SEC reporting requirements, Section 16 filings, and governance frameworks.

Responsibilities

• Manage Board/Committee meeting planning and preparations, including agendas, minutes, and resolutions.
• Maintain legal and Board databases and systems (e.g., Diligent).
• Prepare, review and administer D&O questionnaires and Board/Committee evaluations.
• Lead governance items such as insider trading lists and stock ownership matters.
• Support insider stock holdings tracking and related filings with transfer agents and brokers.
