Job summary

North American Management, LLC is seeking a seasoned Corporate Attorney to support client organizations within its portfolio. This hybrid role is based with a Frederick, MD presence, offering three in-office days during onboarding and remote flexibility thereafter, to partner with executive leadership on contracts, governance, risk, and strategic initiatives.

We require 5+ years in corporate law, strong contract drafting and negotiation, governance experience, and entity management.

Qualifications

• 5+ years practicing corporate law.
• Strong contract drafting, review, and negotiation.
• Corporate governance experience.
• Entity management and board documentation.
• Vendor, subcontractor, and commercial agreements.
• Risk mitigation/legal review of business operations.
• M&A exposure preferred.
• Experience supporting construction, real estate, engineering, or manufacturing industries is a strong plus.

Responsibilities

• Draft, review, negotiate, and manage commercial agreements including vendor and purchasing agreements, NDAs, and related documents.
• Support corporate governance, entity maintenance, and board documentation.
• Provide legal guidance on business initiatives and risk to executives; advise stakeholders.
• Assist with due diligence for acquisitions, mergers, restructures, or partnerships; coordinate with external counsel.
• Identify legal risks and propose practical solutions balancing protection with business objectives; support insurance/compliance.
