Job summary

North American Management, LLC is seeking a Corporate Attorney to provide dedicated legal support to client organizations within its portfolio. The role partners with executive leadership on contracts, governance, risk, and strategic initiatives.

The ideal candidate has 5+ years in corporate law, strong drafting and negotiation skills, and experience with governance and entity management. Hybrid work with in-person onboarding and flexible remote work after training.

Qualifications

• 5+ years of corporate law experience.
• Strong drafting, reviewing, and negotiation of contracts.
• Governance, entity management, and board documentation experience.
• Experience with vendor, subcontractor, and commercial agreements.
• M&A exposure preferred.
• Experience in construction, real estate, engineering, or manufacturing is a strong plus.

Responsibilities

• Draft, review, negotiate, and manage a variety of commercial agreements including vendor, purchasing, professional services, NDAs and related documents.
• Support corporate governance matters, entity maintenance, and governance documentation.
• Advise executive leadership on legal risk, policy interpretation, and strategic business transactions.
• Assist with due diligence for acquisitions, mergers, restructures, or partnerships; coordinate with external counsel.
