Job summary

B&G Foods' Corporate & Compliance Paralegal role in Parsippany, NJ will support corporate governance, SEC reporting, and regulatory compliance across the Legal Department. The candidate will draft agreements, assist with strategic transactions, and manage due diligence with internal teams.

Requires 3+ years of corporate/paralegal experience, a Bachelor's degree, and excellent writing and communication skills. Strong ethics and ability to handle confidential information are essential.

Qualifications

• 3+ years of experience as a corporate and securities paralegal at a public company or corporate law firm.
• Ability to maintain the highest degree of ethics and confidentiality.
• Highly motivated team-player with a positive attitude and desire to learn and expand skill set.
• Excellent writing, communication and organizational skills.

Responsibilities

• Support corporate governance, including board materials and minute books for B&G Foods and subsidiaries.
• Prepare annual meeting materials and proxy statement.
• Draft first drafts of form agreements for review by supervising attorneys.
• Assist with strategic transactions, including acquisitions, divestitures, and debt/equity financing.
• Assist with SEC reporting and governance issues.
• Assist with the compliance and ethics program.
• Review marketing claims and manage legal document production.
• Provide admin support to the Legal Department.
