Job summary

BDO USA is seeking a Senior Counsel to support the firm’s day-to-day transactional needs. The role focuses on representing the firm in client engagements, master services agreements, NDAs, procurement, marketing, and other commercial contracts.

The attorney will partner with principals and internal clients to provide strategic, compliant business solutions across regulatory and firm policies, with a strong emphasis on risk management and cross-functional collaboration.

Qualifications

• JD, required.
• 5+ years of broad commercial/corporate legal experience.
• 3+ years’ experience with a law firm (Am Law 100 preferred).
• Experience negotiating client-facing agreements and supporting commercial transactions.
• In-house experience in large business structures preferred.
• Bar in Good Standing required.
• Proficiency with Microsoft Word; PowerPoint/Excel/SharePoint preferred.

Responsibilities

• Reviews, advises, and negotiates legal matters related to client engagement letters and other contracts.
• Counsels internal clients to minimize legal risk in contractual matters.
• Contributes to OGCs processes, policies, and templates for transactional support.
• Supports OGC and other matters including real estate/leasing, financing, and corporate transactions (M&A).
• Develops competency in additional areas of law as needed.
• Communicates progress with OGC team and external parties.
• Performs other related duties as required.
