Job summary

BDO USA is seeking a Senior Counsel to support day-to-day transactional needs across client engagements, master services, NDAs, procurement, marketing, and other commercial agreements. The role partners with principals and internal clients to craft practical solutions within legal and Firm policies.

The position requires a JD, 5+ years of broad corporate law experience, and a background in both law firm and corporate settings.

Qualifications

• Juris Doctorate (JD) required.
• Five or more years of broad commercial and corporate legal experience, required.
• Three or more years’ experience with a law firm, Am Law 100 firm preferred.
• Proven record of professional excellence and good standing as an attorney, required.
• Experience supporting commercial transactions and contracts, including client-facing negotiations, required.
• In-house experience within a corporation or large professional services structure is preferred.

Responsibilities

• Reviews, advises, and negotiates on client engagement letters and other commercial contracts in line with Firm strategy.
• Counsels internal clients to minimize legal risk in contracts and related matters.
• Supports OGC processes, templates, and risk management across transactional work.
• Assists OGC on other matters including real estate, financing, corporate matters, and M&A.
• Develops competency in additional law areas as requested by OGC leadership.
• Communicates progress to OGC and other stakeholders; manages multiple projects effectively.
