Job summary

BDO USA is seeking a Senior Counsel to support the Firm’s day-to-day transactional needs, focusing on client engagement letters, master services agreements, NDAs, and other commercial contracts. You will partner with principals and internal clients to deliver practical business solutions within legal and firm policies.

Qualifications

• Juris Doctorate (JD) required.
• Five (5) or more years of broad commercial and corporate legal experience, required.
• Three (3) or more years’ experience with a law firm required, Am Law 100 firm, preferred.
• Experience supporting various commercial transactions and contracts, including negotiation of client-facing agreements, required.
• Experience in-house within a corporation, professional partnership or other large business structure, preferred.
• Proficiency in Microsoft Word; PowerPoint and Excel, with SharePoint preferred.

Responsibilities

• Reviews, advises, and negotiates client engagement letters and other commercial transactions.
• Counsels internal clients to minimize legal risk.
• Contributes to improving and complying with the GCO processes, policies and templates for transactional support.
• Supports OGC teammates on other matters, including real estate/leasing, financing, corporate matters, and M&A.
• Develops competency in additional areas of law as needed by OGC leadership.
• Communicates progress effectively with OGC team and external parties.
• Performs other related duties as required.
