Job summary

TeraWulf Inc. is seeking an experienced Commercial Counsel to join its Legal & Compliance team to support its commercial contracting and procurement function, drafting and negotiating customer, vendor, supplier, and digital infrastructure agreements.

The role partners with operations, engineering, finance, procurement, and other business teams to advance transactions while balancing legal risk and commercial objectives.

Qualifications

• J.D. from ABA-accredited law school.
• Admitted to practice law in the applicable state.
• Minimum of 5 years of legal experience focused on drafting, reviewing, and negotiating commercial and real estate contracts.
• In-house or law firm experience in commercial transactions and real estate.
• Strong knowledge of core commercial contract terms and risk allocation.
• Excellent drafting, negotiation, communication, and stakeholder management skills.
• Strong business judgment and the ability to provide practical, commercially oriented legal advice.
• Ability to manage multiple priorities in a fast-paced environment.

Responsibilities

• Draft, review, and negotiate a broad range of commercial agreements, including customer, vendor and supplier agreements, master services agreements, statements of work, NDAs, software and digital infrastructure-related agreements, leases and licenses, consulting agreements, and other contracts.
• Negotiate key contractual provisions, including pricing, SLAs, warranties, IP, data protection, and dispute resolution.
• Support long-term and high-value transactions with capacity commitments and multi-site deployments.
• Collaborate with internal stakeholders and external counterparties to resolve issues and advance transactions.
• Provide legal support for onboarding, expansions, renewals, and amendments of supplier and customer contracts.
• Advise on service-level commitments, performance obligations, data security requirements, and risk allocation.
• Develop, maintain, and improve contract templates, playbooks, and CLM resources.
• Assist with resolution of disputes and coordinate with senior legal team and outside counsel as needed.
