Job summary

TeraWulf Inc. is seeking a Commercial Counsel to support its legal and compliance team. The role focuses on drafting, reviewing, and negotiating customer, vendor, and digital infrastructure agreements, in collaboration with commercial, operations, engineering, finance, and procurement teams.

The ideal candidate will manage risk while enabling strategic business objectives, participate in contract lifecycle processes, and help scale contract review and execution across the organization.

Qualifications

• Experience drafting and negotiating a broad range of commercial agreements.
• Ability to advise on risk and commercial implications of contracts.
• Collaborate with business teams to advance transactions and manage legal risk.

Responsibilities

• Draft, review, and negotiate a broad range of commercial agreements, including customer, vendor and supplier agreements, MSAs, SOWs, NDAs, software and infrastructure-related agreements, leases and licenses.
• Negotiate key contractual provisions, including pricing, SLAs, warranties, indemnities, limitations of liability, IP, data protection, and termination rights.
• Support long-term and high-value transactions involving capacity commitments and multi-site deployments.
• Provide legal guidance to internal stakeholders and external counterparties to advance transactions efficiently.
