Commodity Trucking Holdings, Inc. seeks an experienced board member to guide growth through organic development and acquisitions. This non‑executive role emphasizes ESOP governance and balancing employee ownership with strategic decisions.

The board meets quarterly, with some in‑person sessions in Southern California; committee work such as audit or compensation may be included. A retainer-based engagement is described in the compensation section.

Qualifications

• M&A experience on corporate board or executive level.
• Hands-on ESOP governance and implementation knowledge.
• Experience growing a business and scaling operations.

Responsabilités

• Attend four board meetings annually (min two in-person in Southern CA) and review materials.
• Review monthly financials and discuss performance and strategy.
• Provide M&A oversight: target evaluation, diligence, integration planning, deal structuring.
• Advise on ESOP governance balancing employee ownership with growth.
• Serve on one or two committees (audit, compensation, nominating) and offer strategic advice.
• Collaborate with management and Trustee, respecting approvals on major decisions.
