Job summary

Soluna is seeking a Stock Administration Lead to own and operate our equity programs end-to-end in a fully remote role. You will manage grants (RSUs, options), vesting schedules, and transfer agent transitions with a focus on accuracy and audit-readiness.

You will collaborate with Finance, Legal, and the Board to upgrade equity plans, ensure Section 16 compliance, and implement scalable processes that support Soluna’s growth as a public company.

Qualifications

• 6+ years of stock plan administration at a public company with day-to-day ownership
• CEP designation (Level 2 or 3)
• Hands-on experience managing a transfer agent relationship
• Deep familiarity with Section 16 / Form 4 filings
• Proficiency with major equity management platforms (Shareworks, Equity Edge Online, Carta)
• ASC 718 knowledge and tax implications of equity awards
• Strong judgment and discretion handling material non-public information
• AI tools to create efficiencies and internal tools
• Attention to detail and ability to meet deadlines

We are looking for a Stock Administration Lead to join our world-class team.

As Soluna's first dedicated equity hire, you will own and operate our equity programs end-to-end — from day-to-day grant processing and Section 16 compliance to a high-visibility transfer agent transition project. This is a build role at a NASDAQ-listed public company where the programs are growing faster than the infrastructure that supports them. You'll bring institutional discipline, upgrade our equity incentive plans, and partner directly with Finance, Legal, and the Board to get it done right.

You'll be the internal expert employees, directors, and executives turn to for everything equity-related — someone who has seen what good looks like at a scaling public company and knows how to build toward it. This role is fully remote.

What You’ll Do

Plan Administration & Grant Processing

• Own all equity plan administration across Soluna's 2021 and 2023 Stock Incentive Plans, including RSU grants, restricted stock awards, and stock option processing for employees, directors, and consultants
• Administer and maintain our equity management platform, ensuring grant data, vesting schedules, and participant records are accurate, current, and audit-ready
• Build and document scalable processes for grant approvals, equity onboarding for new hires, and a participant education program that helps employees understand what they own

Transfer Agent Transition

• Lead the transfer agent transition project from vendor evaluation and selection through data migration, legal coordination, and shareholder communications — bringing it in on time and with zero errors
• Serve as the primary point of contact with our transfer agent (currently Equiniti Trust Company) on day-to-day shareholder recordkeeping, DTC activity, and registered holder communications
• Evaluate equity technology upgrades that improve participant experience, reduce manual work, and support Soluna's growth

Compliance & Reporting

• Develop a working understanding of Soluna’s capital table and provide inputs to calculate the EPS & diluted EPS
• Act as backup support for other stock issuances (ATM, SEPA, warrants, etc.) as needed
• Manage all Section 16 compliance: prepare and file Form 4s, maintain the insider trading window calendar, and serve as the go-to resource for officers and directors on trading and equity questions
• Coordinate Drive coordination with outside counsel, CFO, CAO and Financial Reporting Manager on proxy statement equity disclosures, including executive and director compensation tables and plan share reserve calculations under Soluna's dynamic share pool structure; contribute to content creation and preparation of all needed documentation
• Partner with Payroll and Tax on income reporting for equity award vesting and exercises (W-2, 1099, supplemental withholding, FICA)
• Stay current on SEC rules, Nasdaq listing standards, and ASC 718 requirements to keep Soluna's program compliant and audit-ready as the company scales.

What You Bring

Required

• 6+ years of stock plan administration experience at a public company, with direct ownership of day-to-day plan operations
• Certified Equity Professional (CEP) designation, Level 2 or Level 3
• Hands‑on experience managing a transfer agent relationship
• Deep familiarity with Section 16 / Form 4 filing obligations and insider trading policy administration
• Proficiency with a major modern equity management platform (Shareworks, Equity Edge Online, Carta, or equivalent)
• Subject matter expert of ASC 718 and the tax implications of equity awards
• Strong judgment and discretion — you will routinely handle material non‑public information
• Power user of AI tools Claude and/or Gemini to create efficiencies and internal tools
• Exceptional attention to detail paired with the ability to manage competing deadlines without dropping anything

Preferred

• Experience leading or supporting a transfer agent transition
• Background at a scaling tech company
• Experience working through a plan amendment, restatement, or S-8 registration
• Familiarity with dynamic share pool structures or evergreen equity plan mechanics
