Job summary

ABA Search, Inc. in Palo Alto seeks a Senior Corporate Paralegal to support an international law firm’s corporate practice. You will handle complex private equity, capital markets, and M&A matters with independence under attorney supervision.

You’ll contribute to private and public company work, train junior staff, and gain exposure to high-stakes closings and governance tasks in a dynamic team.

Qualifications

• Bachelor's degree required.
• 5+ years of transactional experience in Private Equity, Capital Markets, and M&A.
• Excellent oral and written communication with strong attention to detail.
• Ability to manage multiple priorities and track extensive details.
• Availability to work overtime as required.
• Strong organizational skills and discretion with confidential information.
• Proficiency in Microsoft Office; advanced Excel helpful.

Responsibilities

• Assist with the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.
• Coordinate closings and prepare closing documents.
• Prepare legal opinions and assemble opinion back-up.
• Draft and file corporate and securities filings.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and option records.
• Research Blue Sky issues and prepare required filings.
• Train and support case assistants and junior paralegals.

Senior Corporate Paralegal Palo Alto | $130,000–$170,000 + Overtime

Bring your corporate transactional experience to a leading international law firm where your work will have a direct impact on complex transactions, corporate governance, and the success of private and public company clients.

This is an opportunity to take on substantive work, including tasks that might otherwise be assigned to associates, with the independence to operate under minimal guidance while working under attorney supervision. You'll join a sophisticated corporate practice supporting both private and public company clients, with the chance to train and mentor case assistants and junior paralegals.

• Especially Helpful: Familiarity with Carta, Shareworks, or a similar web-based equity tracking system is highly valued, as is previous law firm experience.
