Job summary

ABA Search, a leading international law firm, is seeking a Senior Corporate Paralegal in San Francisco. Bring 5+ years of transactional experience in Private Equity, Capital Markets, and M&A to support high-stakes deals and closings.

Qualifications

• Bachelor's degree is required.
• 5+ years of transactional experience in Private Equity, Capital Markets, and M&A.
• Availability to work overtime, as required.
• Excellent written and oral communication skills, strong organization, and close attention to detail.
• Ability to build strong working relationships and handle confidential information with discretion.
• Proficiency in Microsoft Office, with advanced Excel skills preferred.
• Familiarity with Carta, Shareworks, or a similar web-based equity tracking system is highly valued, as is previous law firm experience.

Responsibilities

• Assist with the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents.
• Coordinate closings and prepare closing documents.
• Prepare legal opinions and assemble opinion back-up.
• Draft and file corporate and securities filings.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and option records.
• Research Blue Sky issues and prepare required filings.
• Train and support case assistants and junior paralegals.
• Contribute to additional corporate and transactional projects as needed.

Senior Corporate Paralegal San Francisco | $130,000–$170,000 + Overtime

Bring your transactional experience to a leading international law firm where your work will have a direct impact on high-stakes M&A, private equity, and capital markets transactions. This is an opportunity to take on substantive work that might otherwise be assigned to associates, operating independently on sophisticated matters for private and public company clients. You'll work closely with corporate attorneys while helping train and develop the next generation of paralegals.
