Job summary

ABA Search, Inc. in Seattle seeks a corporate paralegal with 5+ years of transactional experience in private equity, capital markets, and M&A.

You’ll support attorneys on general corporate maintenance and complex transactions for private and public company clients, operating with independence and discretion. You’ll coordinate closings, draft documents, perform due diligence, and mentor junior staff while enjoying overtime eligibility and a strong benefits package from a leading international law

Qualifications

• Bachelor's degree required.
• 5+ years of transactional experience in private equity, capital markets, and M&A.
• Overtime availability required.
• Proficiency in Microsoft Office, with advanced Excel skills preferred.
• Excellent oral and written communication and strong attention to detail.
• Ability to handle confidential information with discretion.
• Familiarity with Carta or Shareworks is a plus; prior law firm experience is advantageous.

Responsibilities

• Assist with formation, maintenance, and dissolution of corporate entities and prepare related documents.
• Coordinate closings and prepare closing documents.
• Prepare legal opinions and assemble backup.
• Draft and file corporate and securities filings.
• Organize corporate records and conduct due diligence reviews.
• Prepare stock certificates and maintain capitalization tables and option records.
• Research Blue Sky issues and prepare required filings.
• Train and mentor junior paralegals.

Bring your corporate transactional experience to a leading international law firm where your work will have a direct impact on complex transactions, corporate governance, and the ongoing legal needs of private and public company clients. This is an opportunity to take on substantive, high-responsibility work in a role built for paralegals who operate independently with minimal guidance. You'll work closely with attorneys on sophisticated transactions while helping train and develop junior members of the team.

What You'll Do

As part of the corporate team, you'll support attorneys on general corporate maintenance and complex transactions for private and public company clients.

• Assist with the formation, maintenance, and dissolution of corporate entities and prepare related organizational documents
• Coordinate closings and prepare closing documents
• Prepare legal opinions and assemble opinion backup
• Draft and file corporate and securities filings
• Organize corporate records and conduct due diligence reviews
• Prepare stock certificates and maintain capitalization tables and option records
• Research Blue Sky issues and prepare required filings
• Train and mentor case assistants and junior paralegals

What You'll Bring Required:

• Bachelor's degree
• 5+ years of transactional experience in private equity, capital markets, and M&A matters
• Availability to work overtime as required
• Proficiency in Microsoft Office, with advanced Excel skills preferred
• Excellent oral and written communication skills
• Strong attention to detail and the ability to manage multiple priorities and track extensive details
• Ability to build strong working relationships and handle confidential information with discretion
• Especially Helpful: Familiarity with Carta, Shareworks, or a similar equity tracking platform is a plus, as is previous law firm experience.
