As a Corporate Governance Specialist, you will be responsible for:

• Overall corporate governance of the entities within the assigned jurisdictions.
• Conducting meeting of the board of directors and shareholders of the entities within the assigned jurisdictions.
• Managing the power of attorney process, by receiving requests, obtain approvals, and issuance.
• Reviewing resolutions, documents and power of attorneys requested by subsidiaries and affiliates.
• Handling the notarization, apostille, and legalization of documents.
• Providing in timely manner all corporate information related to assigned jurisdictions as requested by other BH teams.
• Managing invoicing procedures and workflows to ensure compliance with guidelines. Support with processing invoices, new vendor onboarding, vendor training, billing error resolutions, and serve as a liaison between vendors and internal stakeholders.
• Performing additional duties as assigned.

To be successful in this role you will have:

• Bachelor's degree from an accredited university or college (or a high school diploma / GED with at least 4 years of experience in Legal).
• Minimum of 3 additional years of experience in corporate governance.
• Professional working proficiency in Spanish language.
• Excellent oral and written communication skills.
• Effective interpersonal and leadership skills.
• Ability to influence others and lead small teams.
• Ability to coordinate several projects simultaneously.
• Effective problem identification and solution skills.
• Proven analytical and organizational ability.
