Oaktree, part of Brookfield’s credit platform, seeks an experienced attorney to support Global Private Debt with corporate finance matters and loan documentation. The role involves negotiating investments, coordinating with deal teams, and mentoring junior lawyers.

You will handle cross-border transactions, review financing documents, and contribute to firm-wide procedures while collaborating with tax, accounting and operations teams. A top-tier law firm background is required.

Formación

• 7+ years of legal experience at a top 100 law firm with emphasis on finance and experience with sponsor lending, non-sponsor lending and syndicated facilities.
• Experience with life science lending, mezzanine lending, cross-border transactions, and English law credit facilities; exposure to asset management and investment funds is a plus.
• In-house candidates should have 5+ years of experience at a top law firm and current experience in a credit-based investment team.
• Expert knowledge of financing grids, credit agreements, security agreements, term sheets, letters of intent, commitment papers and ancillary deal documents.
• Exceptional writing, drafting and communication skills.
• Proven ability to manage and train junior personnel.
• Proven capability in analyzing complex data and identifying key issues.
• Track record in planning and project management and maintaining composure under pressure while meeting deadlines.

Responsabilidades

• Provide corporate finance legal advice and support, including working with outside counsel, senior officers and investment professionals within Global Private Debt.
• Negotiate and execute portfolio company investments alongside the deal team, primarily in credit-based investments.
• Assist with preparing, reviewing and negotiating loan documentation (financing grids, commitment papers, letters of intent, term sheets, credit agreements, intercreditor agreements).
• Negotiate and execute amendments, post-closing deliverables and other items throughout the life of investments.
• Mentor, train and eventually take-on direct management responsibilities for more junior members of the legal team.
• Assist with closing portfolio company investments, including collaboration with Operations, Accounting and Tax.
• Research and review new market trends in private credit, secondary market trading, and cross-border transactions.
• Participate in cross-departmental initiatives to design and implement firm-wide procedures.
• Supervise operations team members in counterparty KYC for Global Private Debt deals as needed.
• Provide support on other transactional matters and special projects.
