Job summary

Bowery Legal in New York seeks an attorney with in-house and/or top firm experience in transactional and corporate law. The associate will primarily handle emerging companies and venture capital matters, including entity formation, equity and debt financings, commercial contracts, corporate governance, and outside general counsel responsibilities.

You will work closely with the Managing Partner and team in a largely remote-first environment, coordinating across time zones.

Qualifications

• J.D. from a top law school and NY Bar admission are required.
• 2+ years of experience with a top national law firm or in-house in tech.
• Strong project management, communication and analytical skills are essential.

Responsibilities

• Serve as outside general counsel to early-stage and growth companies, providing practical, business-minded guidance.
• Form and structure new entities (DE/LLCs) and set up cap tables from day one.
• Lead venture financings end-to-end, including SAFEs, notes, and equity rounds.
• Manage debt transactions for venture-backed companies, including loan documents.
• Own closing execution: due diligence, sign-off, data rooms, and timely closings.
• Draft and negotiate commercial contracts (SaaS, MSAs, DPAs, NDAs) with IP and risk focus.
• Advise on governance, board consents, 409A, and minute-book hygiene.
