Job summary

Dow is seeking an Expert Tax Counsel to join the Tax Department and advise on a wide range of tax matters, including planning, M&A, audit defense, and contract review. The role reports to the Managing Counsel for Global Tax and can be located in Midland, MI, Houston, TX, or virtually in the Chicago/Detroit area.

You will collaborate with Legal, M&A, Controllers, Treasury, and Government Affairs to integrate tax considerations into business decisions and strategy.

Qualifications

• Juris Doctor (J.D.) or Master of Laws (LL.M.).
• Admission to a State Bar or eligible for admission.
• Minimum 5 years of substantive tax legal experience.
• Authorized to work in the United States without visa sponsorship.

Responsibilities

• M&A and Tax Planning Advisory: assist with tax structuring and due diligence for transactions and post-closing integration.
• Tax Controversy and Audit Defense: lead and support audit defense, research, and protests.
• Contract Review & Commercial Advisory: review tax provisions in commercial agreements and intercompany contracts.
• Tax Legal Research & Memoranda: conduct detailed research and draft memoranda supporting positions.
• Credits & Incentives: analyze eligibility for tax credits and incentives and ensure compliance.
• Cross-Functional Collaboration: partner with Tax Operations, Accounting, Legal, and Finance teams.
