Job summary

Dow seeks an Expert Tax Counsel to join its Tax Department and advise on tax planning, M&A, audit defense and contract review. The role reports to the Managing Counsel for Global Tax and can be located in Midland, MI, Houston, TX, or a virtual office in the Chicago or Detroit areas.

You will work across tax planning, credits and incentives, and cross-functional teams to integrate tax considerations into business decisions.

Qualifications

• JD or equivalent in law.
• Licensed to practice law in at least one US state or eligible for admission.
• Minimum 5 years of substantive tax legal experience.
• US work authorization; no visa sponsorship available.

Responsibilities

• Assist with tax structuring for M&A and reorganizations; support due diligence and post-closing integration.
• Lead and support federal, state, local, and indirect tax audit defense and protests.
• Review and advise on tax provisions in commercial agreements; advise on tax indemnification and withholding.
• Conduct detailed tax legal research and draft memoranda in line with governance standards.
• Identify and maintain compliance with federal, state, local, and energy-related tax credits and incentives.
• Collaborate across Tax Operations, Accounting, Legal, M&A, Controllers, Treasury and Government Affairs.
