Job summary

Diversified Energy Company seeks an experienced Associate General Counsel (Securities, Reporting & Governance) & Assistant Corporate Secretary to manage public company processes, filings, and governance workstreams. Remote position available for the right candidate, with offices in Charleston, WV or Oklahoma City. Lead SEC reporting, advise on U.S.

and U.K. regulatory obligations, and oversee governance, board matters, and executive compensation programs.

Qualifications

J.D. from an accredited law school and in good standing in at least one U.S. jurisdiction.
6+ years of substantive experience in securities law, public company reporting and governance.
Experience with SEC reporting, board governance, and corporate law matters.
Ability to communicate material risks and provide practical solutions.
Experience with executive compensation and equity incentive programs is preferred.

Responsibilities

Lead and coordinate SEC reporting and disclosure (10-K, 10-Q, 8-K, proxies).
Advise on U.S. securities laws and NYSE requirements; coordinate U.K. obligations.
Monitor regulatory developments and assess implications for the company.
Review earnings releases, investor materials, and public disclosures.
Oversee insider trading policies, trading windows, and 10b5-1 plans.
Manage governance processes for the Board and committee materials.
Advise on executive compensation and equity plans; support proxy disclosures.
Coordinate annual shareholder meeting and proxy processes.
Coordinate with internal teams and outside counsel on filings and policies.
