Valley Bank, a leading relationship bank, seeks an experienced Assistant General Counsel—Securities & Corporate Governance to support SEC reporting, governance, and board matters. The role collaborates with finance, investor relations, HR and risk teams in a fast-paced environment.

Based in New York or other covered markets, you will advise on regulatory and corporate matters, manage disclosure processes, and help ensure sound governance practices across the enterprise.

Qualifications

• Juris Doctorate and active state bar membership.
• Experience drafting SEC filings and corporate governance documents.
• Ability to manage multiple projects and interact with senior management.

Responsibilities

• Provide legal support and partner with cross functional teams on a wide range of corporate and securities law matters including SEC filing support.
• Assist in reviewing earnings and other press releases, investor presentations, and announcements for timely disclosures.
• Support the Deputy General Counsel and Corporate Secretary in organizing and scheduling shareholder and Board meetings, preparing materials, and maintaining records.
• Oversee entity management and maintain legal entity management database for compliance and governance.
• Assist with transactional matters such as mergers and acquisitions and debt/equity financings.
• Supervise the work of legal staff in the corporate secretarial function.
• Provide advice on securities regulation, governance and broader corporate law matters.
• Monitor changes in legal requirements and best practices for public company governance.
