Qualifications

• Juris Doctorate from an accredited law school is required.
• Licensed member in good standing of at least one state bar and eligible for admission on motion in Delaware.
• 6+ years of relevant experience, preferably at a national or international law firm; in-house experience preferred.

Responsibilities

• Provide legal guidance focusing on SEC regulations and corporate governance.
• Prepare/review SEC filings (Form 10-K, 10-Q, 8-K) and investor disclosures.
• Monitor securities law/regulatory developments and advise on impact to the company.
• Collaborate with finance, IR, corporate communications and compliance for disclosures.
• Support M&A, financings, and other corporate matters; oversee subsidiary governance.
