Qualifications

• Bachelor's Degree required and JD from an accredited law school.
• Typically requires 8+ years of experience, with mastery knowledge of corporate and securities law.
• Licensed attorney admitted to practice in VA, NC, or MD, or eligible for reciprocity.
• Experience in securities law and public company reporting; financial services sector experience preferred.

Responsibilities

• Provide legal advice on public company matters, including compliance with the Exchange Act, 10-K/10-Q filings, and proxy statements.
• Draft and review securities filings and governance docs, including Form 10-K/10-Q/8-K and Section 16 filings.
• Support governance with board materials, minutes, and director communications; monitor standards.
• Assist with M&A and capital markets transactions and related risk analysis and documentation.
