Job summary

NextDecade is seeking a Counsel, Corporate to advise on governance, securities law, and capital markets, working with Finance, Accounting, Investor Relations and HR. The role includes preparing SEC reports, board materials, and advising on Section 16 filings.

The ideal candidate has a JD with active US bar admission and 5+ years in either law firms or in-house for public companies, with strong communication and project management skills, and the ability to coordinate with outside counsel and

Qualifications

JD and active U.S. license to practice law.
5+ years of legal experience advising public companies.
Experience with securities law, SEC reporting and capital markets.
Strong organizational skills and ability to work cross-functionally.
Experience managing outside counsel and working with senior management.

Responsibilities

Advise on public company governance, securities law compliance, SEC reporting (10-K/10-Q/8-K).
Assist with board and committee materials preparation.
Prepare and advise on Section 16 filings and disclosures.
Support finance and capital markets transactions (debt financings, facilities, derivatives).
Review investor relations materials and stockholder meeting materials.
