Job summary

Sylvan, Inc. is seeking an experienced Commercial & Regulatory Attorney to serve as the second attorney in the in-house team.

You will support contract lifecycle management for construction project agreements and advise on North American regulatory compliance in collaboration with executives, project managers, and operations leaders. The role involves regular engagement with field teams across the U.S., Canada, and Mexico, with periodic travel to project sites and partner offices.

Qualifications

• Juris Doctor degree from an accredited law school and active licensure in at least one U.S. state.
• Minimum 5 years of relevant legal experience in law firms, in-house teams, or both.
• Significant experience drafting and negotiating complex commercial agreements and advising corporate clients.
• Experience building or improving contract templates, playbooks, and workflows, including use of CLM and AI tools.
• Knowledge of construction law or regulatory frameworks, with ability to quickly develop specialized knowledge.

Responsibilities

• Draft, review, and negotiate construction and commercial agreements (prime, subcontracts, MSAs, purchase orders, design-build, vendor contracts).
• Advise on contract risk areas (indemnification, insurance, liability, liquidated damages, change orders, etc.).
• Lead contract lifecycle management and improve templates and negotiation playbooks; evaluate AI/tech tools.
• Counsel on bid terms, flow-down obligations, and contract close-out practices.
• Assist with pre-litigation dispute management, lien/claim strategies, and coordination with outside counsel.
