Nexora is seeking a commercially focused Legal Counsel to join our North American Legal & Compliance function, supporting the United States and Canada.

The role provides hands-on exposure to commercial contracts, regulatory obligations, and compliance frameworks, with autonomy to partner with business stakeholders and manage external counsel as needed. A fast-moving, growth-focused environment awaits a proactive, organized attorney.

Qualifications

• J.D. from an accredited U.S. law school.
• Bar admission in at least one U.S. state (Pennsylvania preferred).
• 4–7 years of relevant experience in commercial, contract, or corporate work.
• Experience drafting and negotiating commercial contracts.
• Experience coordinating external legal counsel and governance duties.
• Strong written and verbal communication; ability to translate legal concepts clearly.
• Highly organised with the ability to manage multiple matters in a fast-moving environment.

Responsibilities

• Draft, review, and negotiate commercial contracts (supplier, reseller, distribution, customer).
• Own a broad range of commercial legal matters and advise stakeholders.
• Maintain contract templates, playbooks, and negotiation guidelines for U.S. operations.
• Ensure contracting compliance with U.S. federal/state rules and cross-border regulatory requirements.
• Address regulatory, ESG, supply chain compliance and due diligence.
• Support contract lifecycle management: execution, amendments, renewals, terminations.
• Coordinate with external counsel across jurisdictions and manage cost efficiency.
• Support governance and entity management for U.S. subsidiaries.
• Collaborate with finance, tax, and compliance on governance matters.
• Assist with special projects for the Legal & Compliance team.
