Job summary

Sylvan Global Holdings is seeking an experienced Commercial & Regulatory Attorney to join its in-house team as the second attorney, reporting to the General Counsel. The role focuses on drafting and negotiating construction and commercial contracts, and coordinating industrial construction regulatory compliance across the U.S., Canada, and Mexico.

Regular interaction with executives, project managers, and operations leaders will occur, including travel to project sites and partner locations.

Qualifications

• JD from an accredited law school and active bar membership in at least one U.S. state
• Must be admitted or eligible for admission in Michigan within a reasonable period after hire
• Substantial experience drafting and negotiating complex commercial agreements
• Experience building or improving templates and workflows, including AI-assisted tools
• Strong client service, drafting, negotiation, and analytical skills

Responsibilities

• Draft, review, and negotiate high-volume construction and commercial agreements (prime, subcontracts, master service agreements, purchase orders, design-build, leases, professional services, vendor contracts).
• Advise on contract risk areas (indemnification, insurance, liability limits, liquidated damages, change orders, force majeure, dispute resolution).
• Lead contract lifecycle management and develop templates, playbooks, and AI-enabled processes.
• Counsel on bid terms, flow-down obligations, and contract close-out practices.
• Assist with claims avoidance, pre-litigation dispute management, and coordination with outside counsel.
