Job summary

Sylvan, Inc. is seeking a Counsel / Senior Counsel — Commercial & Regulatory to serve as the second attorney in the new in-house team.

You will draft and negotiate high-volume construction and commercial agreements and help shape our cross-border contracting and regulatory program across the U.S., Canada, and Mexico. In this on-site role, you will partner with the General Counsel, advise on risk, coordinate with outside counsel, and travel to project sites and partner locations as needed.

Qualifications

• JD from an accredited law school and bar admission in at least one U.S. state.
• Michigan bar admission (or eligibility) within a reasonable period after hire.
• At least 5 years of relevant legal experience, in-house or firm.
• Experience drafting and negotiating complex commercial agreements.

Responsibilities

• Draft, review, and negotiate prime/subcontracts and related agreements.
• Advise on risk areas: indemnification, insurance, liquidated damages, change orders.
• Lead contract lifecycle management; improve templates and playbooks; use AI tools.
• Counsel on bid/ proposal terms; ensure flow-down obligations; close-out practices.
• Coordinate with outside counsel; travel to project sites as needed.
