• Lead fundraising efforts for real estate funds and related vehicles.
• Draft, review, and negotiate fund offering documents, partnership agreements, and co-investment vehicle documents.
• Coordinate with clients, investors, and service providers to facilitate fund closings.

Job description

Overview

• Extensive experience advising on the structuring, formation, and management of open-end and closed-end real estate fund products, including co-investment vehicles and other real estate investment products.
• Experience representing both real estate fund sponsors and investors in legal, regulatory, and transactional matters.
• Lead teams during fundraising processes for real estate funds, advise clients on fund formation, structuring, and management, and represent sponsors and investors in transactions and negotiations.
• Draft, review, and negotiate fund offering documents, partnership agreements, side letters, and co-investment vehicle documents, coordinating with clients, investors, and service providers to facilitate fund closings.
• Conduct legal research, analyze and monitor regulatory requirements affecting real estate funds and related products, prepare and review disclosure documents and investor communications, and support due diligence processes for real estate acquisitions and investments.
• Identify and resolve legal issues related to fund operations, management, and investor relations, working with colleagues in tax, real estate, finance, and regulatory practices.
• Supervise junior team members, help partners maintain existing client relationships, and use AI technologies responsibly and ethically to enhance legal research and document review.
