A prestigious investment firm in New York is seeking a senior legal counsel to partner with investment leadership on complex private real estate transactions. The successful candidate will have 7-10+ years of in-house experience, primarily in private equity, and will be tasked with providing legal counsel on acquisitions, joint ventures, and fund structuring. This role offers a competitive compensation package, including a base salary range of $300,000 to $325,000 plus a substantial bonus structure.

Qualifications

• 7–10+ years’ experience in private equity and/or real estate transactions.
• Significant expertise in real estate transactional work and investment fund documentation.
• Strong knowledge of securities laws, capital markets, joint ventures, and SEC regulatory requirements.

About the role

A highly visible, senior in-house role where you partner directly with investment leadership to drive complex private real estate and fund transactions and influence deal structuring.

Responsibilities

• Provide legal counsel across private real estate transactions, including acquisitions, dispositions, joint ventures, and related financings
• Support structuring and formation of private equity funds, closed-end funds, and non-traded REITs
• Draft and negotiate term sheets, purchase and sale agreements, joint venture agreements, loan documentation, leasing and property management agreements
• Conduct legal and regulatory due diligence on real estate managers and sponsors
• Advise senior management and investment teams on governance, regulatory, and transactional matters
• Oversee and manage outside counsel on regulatory filings and public disclosure requirements for non-traded REITs
• Prepare and review fund documents, subscription agreements, prospectus amendments, and credit facility documentation

Qualifications

• 7–10+ years’ experience in private equity and/or real estate transactions - In-House Experience & Big Law Firm training is highly preferred.
• Significant expertise in real estate transactional work and investment fund documentation
• Strong knowledge of securities laws, capital markets, joint ventures, and SEC regulatory requirements
• U.S. Bar admission (NY preferred)

Compensation

Compensation Range: $300,000 - $325,000 base + Very competitive bonus structure: 60% - 80%
