Job summary

RingCentral, Inc. in Belmont, California seeks an experienced Senior Paralegal, Corporate & Securities to join our Legal team. This on-site role supports securities compliance, governance, and equity matters across the company.

You will manage SEC filings, board materials, and governance records while coordinating with cross-functional teams in a fast-paced public company environment.

Qualifications

• 7+ years of corporate and securities paralegal experience.
• Experience with SEC reporting and corporate governance.
• Familiarity with Workiva and EDGAR filing processes.
• Board management or entity governance experience is preferred.
• Strong written and verbal communication and ability to work across teams.

Responsibilities

• Assist with preparation, coordination, and filing of SEC forms (10-K, 10-Q, 8-K, S-8).
• Support annual stockholder meeting and proxy statement prep and logistics.
• Prepare minutes, resolutions, and governance records for Board/Committees.
• Assist with equity matters including 10b5-1 plans and insider trading docs.
• Coordinate reporting, due diligence, and related-party matter documentation.
• Collaborate with Finance, Accounting, IR, HR, and stock administration teams.
• Support subsidiary governance and corporate records maintenance.
• Coordinate with NYSE, transfer agents, brokers, and other service providers.
• Provide support for financing and other corporate transactions.
