Job summary

RingCentral is seeking a Senior Paralegal for Corporate & Securities in Belmont, CA. You will join the Legal team to support SEC filings, governance records, equity matters, and cross-functional processes in a fast-paced public company environment.

The role requires 7+ years of corporate and securities paralegal experience, familiarity with SEC reporting, EDGAR, and governance platforms, with close collaboration across teams and external counsel.

Qualifications

• 7+ years of corporate and securities paralegal experience, preferably with a publicly traded company or major law firm.
• Strong familiarity with SEC reporting, Section 16, corporate governance, and equity matters.
• Experience with board management or governance platforms is preferred.

Responsibilities

• Assist with preparation, coordination, and filing of SEC forms (10-K/10-Q/8-K/S-8) and related statements.
• Support annual stockholder meeting logistics, D&O questionnaires, and proxy statements.
• Maintain minutes, resolutions, consents, and governance records for Board/Committees.
• Assist with equity matters, including grants, 10b5-1 plans, and insider communications.
• Coordinate quarterly and annual reporting, due diligence, related-party matters, and disclosures.
• Collaborate with Finance, Accounting, IR, Stock Administration, HR, and outside counsel.
