Job summary

Jobot is seeking a Senior Corporate Paralegal to join its Corporate Legal team in New York. This remote-friendly, permanent role supports governance, equity program administration and securities compliance for a publicly traded company.

You will report to the Assistant Corporate Secretary and work with the Corporate Secretary, GC and business partners on board materials, filings and policy maintenance. The role requires attention to detail and independent, collaborative work style.

Qualifications

• Corporate law or paralegal experience in a public company.
• Experience supporting a Corporate Secretary and working with a board.
• Familiarity with SEC reporting and Section 16 compliance.
• Exposure to equity compensation and stock plans is highly desirable.
• Excellent organization and multitasking in a fast-paced environment.
• Strong drafting, written and verbal communication skills.

Responsibilities

• Support governance, board administration and materials planning.
• Draft agendas, resolutions, minutes and governance docs.
• Maintain board calendars, records and governance databases.
• Coordinate director onboarding and education; manage questionnaires.
• Assist with SEC reporting, Forms 8-K/10-K/10-Q and proxy statements.
• Oversee equity plan administration and RSU/stock option programs.
• Coordinate insurance renewals and general legal support.
