Qualifications

• 5+ years of corporate paralegal or governance experience.
• Strong organizational skills and attention to detail.
• Ability to manage multiple priorities in a fast-paced environment.
• Initiative and sound judgment with problem-solving.
• Excellent written and verbal communication with attorneys and partners.

Responsibilities

• Prepare draft resolutions, consents, certificates for review by counsel.
• Maintain accurate subsidiary records and governance materials.
• Organize minute books and director records.
• Assist with holding company filings and related materials.
• Coordinate with attorneys and stakeholders to collect information and track approvals.
• Monitor governance deadlines and filing requirements.
• Help manage corporate filing systems on intranet and tools.
• Identify and resolve routine corporate-record issues.
• Provide support on other legal department work.
• Collaborate with paralegals and admins on process improvements.
