Qualifications

• Strong working knowledge of corporate tasks for private companies.
• Substantive understanding of corporate governance matters and transactional work.
• Experience with securities and corporate laws.
• Experience in capitalization management platforms such as Carta and Shareworks.
• Proficient with Excel; detail-oriented and organized.
• Excellent communication; ability to prioritize multiple projects under deadline.

Responsibilities

• Prepare corporate documents such as charter documents and board/shareholder actions.
• Process stock and option administration; draft agreements and reports.
• Manage capitalization processes and records in equity platforms; answer client questions.
• Conduct research to prepare and manage corporate and securities filings.
• Prepare EDGAR code applications and accounts; assist with D&O questionnaires.
• Perform public company governance filings (Section 16) and legend removal requests.
• Communicate with clients, holders, directors, investors, and auditors.
• Handle due diligence and closing processes; compile closing documents.
• Provide support for annual compliance matters; organize client records; input time entries.
