NELSON Worldwide is seeking a Senior Paralegal who will serve as a trusted advisor to the leadership team, providing strategic legal and operational guidance across governance, compliance, licensing, contracts, and emerging technology, including AI governance.

The role supports the review of AI-related agreements, data and privacy matters, IP, vendor terms, and other issues while drafting, reviewing, negotiating, and administering contracts. Travel to support business needs may be required.

Qualificações

• 8+ years of experience as a Paralegal in corporate, commercial, or in-house environments.
• Experience with industry-standard contract forms (AIA, DBIA, ConsensusDOCS) and understanding of contractual risk allocation.
• Ability to manage multiple high-priority initiatives in a dynamic, deadline-driven environment.

Responsabilidades

• Serve as the primary point of contact for corporate governance across NELSON entities, drafting and maintaining bylaws, operating agreements, and resolutions.
• Lead the entity management program, ensuring accuracy of minute books and share records.
• Drive contract strategy—draft, review, and negotiate service agreements and complex contracts with business partners.
• Provide strategic counsel on risk mitigation, compliance, and best practices across departments.
• Partner with internal and external counsel on M&A, due diligence, and IP management.
• Oversee claims and litigation management processes and maintain documentation.
• Identify and implement process improvements to streamline legal operations.
• Mentor junior legal team members and contribute to templates and training.
