NELSON Worldwide seeks a Senior Paralegal to advise the senior leadership on corporate governance, compliance, licensing, contracts, and AI-related legal matters. You will lead contract preparation, negotiation, and administration while aligning legal practices with business objectives across the enterprise.

The role requires 8+ years of paralegal experience, a paralegal certificate, and a strong background in corporate law, contracts, and risk management.

Qualifications

• Bachelor's degree in Legal Studies, Business Administration, Political Science, or related field required.
• Paralegal Certificate required.
• Experience with corporate governance, contracts, and risk management preferred.

Responsibilities

• Serve as primary point of contact for corporate governance across entities, drafting bylaws, operating agreements, and resolutions.
• Lead entity management program: minute books, share records, master corporate structure chart.
• Drive contract strategy: draft, review, and negotiate service agreements and complex client contracts.
• Provide strategic counsel on risk, compliance, and operational best practices.
