Job summary

Anthropic is seeking a Senior Manager, Technical Accounting – M&A and Investments to join our Finance team in San Francisco. You will own the accounting for mergers, acquisitions, strategic investments, and other complex capital transactions, reporting to the Senior Director.

You will partner with Corporate Dev, Legal, Tax, Treasury, FP&A, and leadership to ensure GAAP positions are accurate and support auditors and regulators.

Qualifications

• 10+ years of progressive accounting experience with 4+ years owning complex M&A and strategic investment accounting end-to-end
• Active CPA license required
• Big 4 experience in National Office or Deal Advisory with in-house tech company exposure
• Experience with multiple closed acquisitions and strategic investments of meaningful scale or complexity
• Deep command of US GAAP for business combinations, consolidation, equity method, and fair value measurements

Responsibilities

• Execute technical accounting for business combinations, asset acquisitions, joint ventures, and related financing/equity structures
• Coordinate with Corporate Development and Legal on deal structures and terms
• Perform due diligence on prospective transactions and advise on GAAP, control, and earnings implications
• Manage end-to-end purchase accounting and post-close integration accounting
• Oversee consolidation classifications, investment accounting, and impairment analyses
• Review PPA, intangible assets, contingent consideration, and impairment with outside valuation specialists
• Author policies and memoranda; liaise with external auditors on M&A and consolidation matters
• Collaborate with Tax, Treasury and Legal on equity, SAFEs/convertibles and other financing instruments
• Develop deal-accounting operating model, diligence checklists, and SOX controls for non-routine transactions
• Prepare disclosures for quarterly/annual filings and explain accounting impacts to leadership
