Eaton Corporation is seeking a Senior Counsel, Mergers & Acquisitions, to join the M&A team. This role can be based remotely in the United States, with broad responsibility for advising on acquisitions, divestitures, joint ventures, and restructurings.

You will draft and negotiate transaction documents, conduct due diligence, and guide post-transaction integration across the enterprise. The ideal candidate has at least 8 years of M&A experience, a JD, and an active US license, along with a track

Qualifications

• Minimum of 8 years of progressive post-law degree experience in mergers & acquisitions or related areas.
• Proven track record of successfully leading and closing complex M&A transactions.
• Must be able to travel up to 10%, some globally.

Responsabilités

• Collaborate with internal and external stakeholders to ensure legal compliance across transactions.
• Draft, review, and negotiate complex transaction agreements (purchase, merger, JV, governance documents).
• Perform due diligence to identify risks and liabilities and advise on mitigations.
• Provide strategic legal advice to Strategy and Corporate Development and business teams on M&A matters.
• Oversee integration from a legal perspective and ensure regulatory compliance during post-transaction phases.
• Mentor and train legal professionals within Eaton’s M&A community.
