Job summary

Toptal is seeking a fully remote Senior Counsel, Mergers & Acquisitions to support its active acquisition strategy, including drafting and negotiating deal documentation, due diligence, and post‑close integration planning.

The role requires residency in the United States, with no visa sponsorship offered. Resumes and communications must be in English. The position is full‑time and in-house within Toptal's Legal department.

Qualifications

• Juris Doctor degree, LLB, LLM or equivalent is required.
• Admission to a U.S. State or the District of Columbia bar.
• 5+ years of experience focused within M&A law, ideally some in a law firm setting.
• Strong experience negotiating and drafting merger and acquisition documentation.
• Experience conducting due diligence of target digital data rooms and review of disclosure schedules.
• Ability to partner closely with external M&A counsel and internal business stakeholders.
• Excellent customer service, interpersonal, and organizational skills.
• Ability to quickly master and integrate legal, business, and technical analysis.
• Sharp attention to detail with strong business judgment.

Responsibilities

• Provide strategic legal advice to senior leadership across the M&A lifecycle.
• Draft and negotiate acquisition agreements and related documents.
• Conduct due diligence and review data room materials and disclosure schedules.
• Assist with pre- and post-close integration planning in collaboration with internal teams.
