Cognizant is seeking an experienced Mergers and Acquisitions Attorney to join the Corporate Development team. As lead deal counsel, you will manage structuring, due diligence, documentation, signing, and closing for US and international transactions.

You will collaborate with tax, finance, HR, IP, compliance, privacy, IT, and security teams, and support integration efforts post-acquisition. The role offers a remote work model for qualified US applicants.

Qualifications

• At least five years of experience in mergers and acquisitions.
• Undergraduate and J.D. degrees from well-recognized institutions.
• Top law firm and in-house M&A experience across the United States and international transactions.
• Understanding end-to-end M&A process from inception to integration.
• Strong governance and ability to manage cross-functional projects.

Responsabilités

• Draft and negotiate definitive transaction documents, including sale and purchase agreements, disclosure letters, representations and warranties insurance documents, letters of intent, and confidentiality agreements.
• Lead M&A deal leadership for transaction structuring, due diligence, documentation, signing, and closing.
• Conduct due diligence and summarize findings for the Corporate Development department and the Investment Committee.
• Collaborate with specialists supporting Corporate Development, including tax, finance and accounting, HR, IP, ethics and compliance, privacy, IT, and security.
• Support integration planning for acquired businesses.
• Coordinate and oversee outside M&A counsel.
• Provide legal advice on matters related to Corporate Development and Cognizant’s M&A activities.
