Cognizant is seeking an experienced M&A Attorney to join the M&A legal group within the Corporate Development department. You will lead deal structuring, due diligence, and documentation for US transactions and international deals, coordinating with internal teams and outside counsel.

Candidates should have 5+ years in M&A, JD and undergraduate degrees, and a track record with public and private company transactions in the United States.

Qualifications

• Five+ years of mergers and acquisitions experience.
• Undergraduate and J.D. degrees from recognized institutions.
• Top law firm experience focused on US and cross-border M&A.
• Diverse and complex M&A transactional experience across settings.
• End-to-end M&A process understanding from inception to integration.
• Strong project-management and attention to detail.

Responsabilités

• Draft and negotiate definitive transaction documents, including S&Ps, letters of intent, disclosures, reps and warranties and confidentiality agreements.
• Lead M&A deal attorney role, overseeing structuring, due diligence, documentation, signing and closing.
• Conduct due diligence and summarize findings for Corporate Development and Investment Committee.
• Collaborate with tax, finance, HR, IP, and compliance teams.
• Support integration planning for acquired businesses.
• Coordinate outside M&A counsel and advise internal stakeholders.
• Provide legal advice related to Cognizant’s M&A activities.
