Job summary

Cognizant is seeking a senior Mergers & Acquisitions Attorney to join the M&A legal group, supporting U.S. and international transactions.

You will lead deal structuring, due diligence, documentation, signing, and closing, while coordinating with tax, finance, HR, IP, and other specialists. You will counsel on end-to-end M&A processes, manage cross-functional projects, and help integrate acquired businesses.

Qualifications

• Five+ years of mergers and acquisitions experience.
• Undergraduate and J.D. degrees from well-recognized institutions.
• Top law firm experience focused on public and private M&A in the United States and across borders.
• Diverse and complex M&A transactional experience with the ability to apply that experience in new settings.
• Deep understanding of end-to-end M&A process from inception to integration.
• Strong project-management skills and attention to detail.
• Ability to work independently and as part of a team.
• Sound judgment and escalation of red-flag issues.
• Ability to advise internal stakeholders in line with company goals and culture.
• Excellent written and oral communication skills with internal stakeholders.
• Ownership mindset and passion for meaningful outcomes.

Responsibilities

• Draft and negotiate definitive transaction documents (S/PA, disclosures, reps, letters of intent, NDAs).
• Lead M&A deal attorney responsibilities across structuring, due diligence, documentation, signing, and closing.
• Conduct due diligence and summarize key findings for the Investment Committee.
• Collaborate with tax, finance, HR, IP, contracts, compliance, privacy, IT, and security teams.
• Support integration planning and execution for acquired businesses.
• Coordinate and oversee outside M&A counsel.
• Provide legal advice on Corporate Development and Cognizant’s M&A activities.
