The role supports strategic portfolio shaping through acquisitions, divestitures and joint ventures, working with the Assistant General Counsel, M&A, and a Center of Excellence. Ideal candidates hold a Juris Doctor and have at least 4 years of M&A experience, with strong project management and collaboration skills to coordinate across cross-functional teams.

Qualifications

• Juris Doctor degree required.
• At least 4 years of experience.
• Experience in large law firm or corporate legal department handling M&A transactions.
• Strong project management, judgment, and communication skills.

Responsibilities

• Provide legal counsel and support to the M&A team to achieve portfolio shaping objectives through acquisitions, divestitures and joint ventures.
• Provide day-to-day support and direct interaction with corporate M&A team and the M&A Center of Excellence.
• Liaise with subject matter experts to resolve legal issues across transaction life cycles.
• Lead early-stage transaction work including NDAs, IOIs, and MOUs; coordinate due diligence for buy-side and sell-side deals.
• Assist with negotiation of transaction documents (purchase/merger agreements, TSAs, licenses, supply/co-manufacturing, joint venture/shareholder agreements).
• Advise on post-signing matters, regulatory filings, closing checklists, and integration planning.
• Lead post-closing matters and ongoing integration or separation workstreams.
